Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the website operated at itgparts.com (the "Site") and any related services provided by G & M INNOVATION GROUP INC d/b/a ITG Parts ("we", "us", "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Definitions

In these Terms, the following capitalized words have the meanings below. Other terms are interpreted in their ordinary commercial sense.

Account
A user-specific registration on the Site that holds your contact information, order history, saved addresses, and (for Professional Accounts) wholesale-tier eligibility.
Professional Account
An Account that has been verified as belonging to an appliance repair professional or qualifying business buyer under Section 4 (Professional Account Terms). Professional Accounts may receive wholesale pricing and B2B order workflows.
Compatibility Check
Our AI-assisted process that takes (a) a photo of an appliance's model plate or a manually entered model number, (b) the part you are considering, and optionally (c) a description of the symptom you are experiencing, and returns a Rating estimating whether the Part fits the appliance described by the Model Number.
Rating
The output of a Compatibility Check, expressed in one of three categories: GREEN ("our system has high confidence the part fits the model you provided"), YELLOW ("our system is uncertain; a human appliance parts specialist will review your case, typically within one business day"), or RED ("our system has high confidence the part does NOT fit the model you provided").
Model Number
The alphanumeric identifier printed on an appliance's model plate by the appliance manufacturer. It uniquely identifies the appliance variant for parts compatibility lookup. You are responsible for ensuring that the Model Number you provide to us matches the model plate currently affixed to your physical appliance.
OCR Output
The text extracted by our optical-character-recognition system from a photo you upload. OCR Output is presented to you for confirmation before being used in the Compatibility Check. You are responsible for correcting or rejecting OCR Output that does not match your appliance.
Part
An item of appliance replacement inventory offered for sale on the Site, including but not limited to door seals, drain pumps, control boards, heating elements, and consumables.
Order
A purchase initiated by a customer through the Site checkout flow, payable via the Stripe payment processor and fulfilled by shipment of one or more Parts.

2. Description of Service; AI Recommendation Is Not Professional Advice

We operate an online marketplace for appliance replacement parts. Our service includes the Compatibility Check defined in Section 1. Ratings are returned in three categories (GREEN / YELLOW / RED) reflecting our system's confidence that a Part fits an appliance Model Number.

THE COMPATIBILITY CHECK IS AN AI-ASSISTED RECOMMENDATION, NOT PROFESSIONAL ADVICE AND NOT A GUARANTEE. It is generated by software that combines optical character recognition, parts catalog cross-reference, and large-language-model symptom analysis. It is not the work of a licensed appliance repair technician, electrician, plumber, or other professional service provider. You should not rely on it as a substitute for inspection, diagnosis, or installation guidance from a qualified person.

The accuracy of any Rating depends on (i) the accuracy of the Model Number you provided, (ii) the completeness of our catalog data for that model, and (iii) factors outside our control including but not limited to running production-line changes made by appliance manufacturers, regional variants, and post-production modifications to the appliance. You are responsible for verifying that the Model Number you provide matches the model plate on your physical appliance before relying on any Rating.

Installation of any Part purchased through the Site must be performed in accordance with the appliance manufacturer's instructions and applicable building, electrical, and plumbing codes. Improper installation can damage property, void appliance warranties, or cause injury or fire. We assume no responsibility for installation outcomes.

3. Eligibility, Account, and Registration

You must be at least 18 years old and legally able to enter into binding contracts to use the Site. By creating an Account, you represent that you meet these requirements.

When you create an Account, you agree to (a) provide accurate, current, and complete information; (b) maintain and promptly update that information; (c) keep your password confidential; and (d) accept responsibility for all activity under your Account, whether or not authorized by you. We are not liable for losses caused by unauthorized use of your Account that result from your failure to protect your credentials. Notify us promptly at the contact in Section 22 if you suspect unauthorized access.

We may refuse or terminate an Account at our discretion for any of the reasons described in Section 13 (Account Suspension and Termination). Account refusal at registration is final unless overturned on appeal under Section 13.

Geographic scope.

The Site is directed to and intended for users located in the United States. Orders are shipped to addresses within the United States only, and we make no representation that the Site or the Parts are appropriate or available for use outside the United States. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with any laws applicable to you in your location.

4. Professional Account Terms

A Professional Account is intended for appliance repair professionals and qualifying business buyers who purchase Parts for resale, professional installation, or otherwise in the ordinary course of business (not for personal household use).

Eligibility verification.

To open a Professional Account, you must submit business verification documentation (which may include a business license, tax-identification certificate, resale certificate, or proof of professional employment) through the registration flow. We review submitted documentation manually and may approve, request additional information, or decline at our discretion. Submission of documentation does not by itself entitle you to wholesale pricing or B2B order processing; approval is at our discretion.

Wholesale pricing and B2B orders.

Approved Professional Accounts may receive wholesale pricing as displayed in the Account interface and may use the B2B order flow (which differs from the standard consumer checkout in payment-terms presentation, invoicing, and order-confirmation cadence). Wholesale pricing applies only to orders placed while the Professional Account is in good standing; if the Account is suspended or downgraded, subsequent orders revert to retail pricing.

Resale and tax compliance.

If you purchase Parts for resale, you are solely responsible for collecting and remitting any applicable sales or use taxes from your customers and for obtaining and maintaining valid resale certificates in your jurisdiction. We make no representation regarding the tax status of any Part. Any tax-exemption status applied to your Account is contingent on documentation you have provided remaining accurate and current; you must notify us promptly if your tax status changes.

No partnership or agency.

Nothing in these Terms creates a partnership, joint venture, franchise, agency, or employment relationship between you and us. You may not represent yourself as an authorized dealer, distributor, or representative of us or of any appliance manufacturer whose parts we sell.

5. Orders, Pricing, and Payment

Pricing is displayed on the Site at the time you place an Order. All prices are in U.S. dollars unless otherwise stated. Where a shipping charge applies to a Part, that charge is shown on the Part's product page and is added as a separate line at checkout. Where we are registered to collect sales tax in the jurisdiction to which your Order ships, applicable sales tax is calculated and added at checkout based on the shipping address you provide; where we are not so registered, no sales tax is charged and you may remain responsible for any use tax owed in your jurisdiction. The total presented to you for authorization at checkout is the full amount we will charge. Payment is processed by Stripe, Inc.; we do not store full payment card numbers or CVV codes on our systems.

Pricing-error protection.

Pricing on the Site is occasionally subject to error due to data entry mistakes, catalog synchronization issues, or vendor-side changes. If we discover that an Order was confirmed at an obviously incorrect price (for example, a price that is 50% or more below our regular price for the same Part, or a price that is below our cost), we may, at our discretion: (a) cancel the affected Order line(s) and refund the amount you paid for them; (b) contact you to offer the Order at the corrected price; or (c) honor the displayed price as a one-time courtesy. We will not be liable for additional damages beyond a full refund of amounts paid in respect of a cancelled Order.

Order acceptance.

Your placement of an Order is an offer to purchase. Our acceptance is communicated by an order-confirmation email and by the payment authorization being captured by Stripe. We reserve the right to refuse, cancel, or limit any Order at our discretion, including in cases of suspected fraud, pricing errors as described above, stock shortages discovered after the Order was placed, or compliance constraints (for example, export restrictions or sanctions). If we cancel an Order, we will refund any amount you have already paid.

Taxes and fees.

Prices displayed do not include shipping charges, sales or use taxes, or other government-imposed charges, except where expressly stated. Any such amounts are itemized separately before you authorize payment.

6. Shipping, Delivery, and Risk of Loss

Estimated delivery times are shown on product pages and at checkout. Estimates are based on carrier-provided transit times and are not guarantees. We are not liable for delays caused by carriers, weather, customs, force majeure events (see Section 14), or other circumstances outside our reasonable control.

Risk of loss and title to a Part pass to you upon the carrier's first scan of the package, except where this allocation is overridden by non-waivable consumer protection law in your jurisdiction. If a package is damaged in transit or shows tampering, you should inspect within 48 hours of delivery and report to us under the Refund Policy (a separate document incorporated by reference).

7. Returns, Refunds, and Limited Warranty

Returns and refunds are governed by our Refund Policy (the "Refund Policy"). A limited 30-day fit guarantee applies only to Parts that were rated GREEN by the Compatibility Check at the time of Order, and is governed by our Limited Warranty (the "Warranty"). Parts rated YELLOW or RED at Order time are shipped at the customer's explicit acknowledgement of the rating, are final sale for compatibility reasons, and are excluded from the fit guarantee. The Refund Policy and the Warranty are incorporated into these Terms by reference and are available on the Site.

8. User Uploads and Photo License

When you upload a photo (e.g., of an appliance model plate or of a Part to support a refund claim), you represent that the photo is yours to upload or that you have the necessary permissions from the owner. You grant us a non-exclusive, royalty-free, worldwide license to (a) process the photo for the purpose of providing the Compatibility Check and order-support service, (b) retain a copy on our servers for audit and quality-improvement purposes consistent with our Privacy Policy, and (c) use anonymized and aggregated forms of the photo for service improvement.

We do NOT use uploaded photos for advertising, do NOT sell them to third parties, and do NOT train third-party AI models on them. Our internal sub-processor list (in the Privacy Policy) names the AI providers that receive your inputs and limits what those providers may do with the inputs.

You may request deletion of photos associated with your Account at any time by contacting us. Deletion is processed within 30 days, except where retention is required by law (for example, for tax records or to defend a pending dispute). Photos not associated with a specific Order or claim are deleted from our active storage within twelve (12) months in the ordinary course.

9. DMCA Notice and Counter-Notice

We respect the intellectual property rights of others. If you believe that content on the Site (including a photo uploaded by another user) infringes your copyright, you may submit a Digital Millennium Copyright Act (DMCA) takedown notice to the contact below.

Notice requirements.

A valid DMCA notice must include: (i) a physical or electronic signature of the copyright owner or authorized agent; (ii) identification of the copyrighted work claimed to be infringed; (iii) identification of the material that is claimed to be infringing and information sufficient to allow us to locate it (including the URL or upload identifier); (iv) your contact information (name, address, telephone, and email); (v) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (vi) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

Counter-notice.

If we receive a DMCA notice concerning content you uploaded and we remove or disable it, you may file a counter-notice including: (i) your physical or electronic signature; (ii) identification of the removed material and its prior location; (iii) a statement under penalty of perjury that you have a good-faith belief that the material was removed as a result of mistake or misidentification; and (iv) your name, address, telephone, and a statement consenting to the jurisdiction of the federal court in the district where you live (or, if outside the United States, in our jurisdiction), and that you will accept service of process from the person who sent the original notice. If a valid counter-notice is filed and we receive no judicial-enforcement notice from the original complainant within 10 to 14 business days, we may restore the material.

Designated agent.

Send DMCA notices and counter-notices to support@itgparts.com with the subject line "DMCA Notice" or "DMCA Counter-Notice", and to G & M INNOVATION GROUP INC, 1070 Montgomery Rd, Altamonte Springs, FL 32714. We may, in our sole discretion, terminate Accounts of users who are repeat infringers under our policy.

10. Intellectual Property

All content on the Site (text, graphics, logos, images, software, and the underlying database structure) is owned by us or our licensors and is protected by U.S. and international intellectual property law. Brand names of appliance manufacturers (e.g., Whirlpool, GE, Frigidaire) are the property of their respective owners; we use them solely to identify Parts that are compatible with appliances of those brands. We are not affiliated with any appliance manufacturer.

You may not copy, modify, distribute, or create derivative works of the Site or its content without our prior written consent, except for personal, non-commercial use of pages displayed to you in the normal course of using the Site, including the right to print or save Order confirmations and receipts for your records.

11. Privacy

Our collection, use, and disclosure of your personal information is described in our Privacy Policy (the "Privacy Policy"), which is incorporated into these Terms by reference and is available on the Site. By using the Site you agree to the practices described in the Privacy Policy.

12. Acceptable Use

You agree not to:

Violation of this Section may result in immediate suspension or termination of your Account under Section 13.

13. Account Suspension and Termination

Suspension and termination by us.

We may suspend or terminate your Account, with or without prior notice, if we reasonably believe you have (a) violated these Terms, the Acceptable Use Policy in Section 12, or any other policy posted on the Site; (b) engaged in fraud, payment chargebacks without prior contact, or abuse of the Compatibility Check (including repeated false model-number submissions to obtain otherwise-ineligible Ratings); (c) created multiple Accounts to evade suspension; or (d) put us, other customers, or third parties at legal or financial risk through your activity on the Site.

Appeal process.

If your Account is suspended or terminated, you may appeal by sending an email to support@itgparts.com within thirty (30) days of the action, including (i) the email address on the affected Account, (ii) the reason you believe the action is in error, and (iii) any supporting documentation. We aim to respond within ten (10) business days. Our decision on appeal is final unless you avail yourself of the dispute-resolution procedure in Section 18.

Termination by you.

You may close your Account at any time by contacting support. Closure does not waive obligations relating to outstanding Orders, payment authorizations, refund eligibility, or warranty claims. Records associated with your closed Account are retained under the schedule described in the Privacy Policy.

Effect of termination.

Upon termination of your Account, your right to use the Site ends, but the following Sections survive: 7 (Returns, Refunds, and Limited Warranty — for Orders placed before termination), 10 (Intellectual Property), 11 (Privacy — to the extent applicable), 15-18 (Disclaimer, Limitation, Indemnification, Governing Law), 20 (Notice), and 21 (Survival, Severability, and Entire Agreement).

14. Force Majeure

Neither party will be liable for any failure or delay in performance under these Terms (except for payment obligations) where caused by events beyond that party's reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, civil unrest, governmental action, labor disputes, network outages, denial-of-service attacks, supplier failures, or carrier failures. The affected party will use commercially reasonable efforts to mitigate the impact and to resume performance. If a force majeure event continues for more than thirty (30) days, either party may terminate the affected Order with refund of unfulfilled portions, without further liability.

15. Disclaimer of Warranties

THE SITE AND SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. EXCEPT AS EXPRESSLY STATED IN THE WARRANTY DOCUMENT FOR PARTS RATED GREEN AT ORDER TIME, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE COMPATIBILITY CHECK WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY GIVEN RATING WILL ACCURATELY PREDICT FIT IN EVERY CASE. SOME STATES DO NOT ALLOW THE EXCLUSION OF CERTAIN IMPLIED WARRANTIES; IN THOSE STATES, OUR EXCLUSION IS THE NARROWEST PERMITTED BY LAW.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SITE, OR THE SERVICE, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100), WHICHEVER IS GREATER. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES; IN THOSE STATES, OUR LIMITATIONS ABOVE APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for gross negligence or willful misconduct, or for any other liability that cannot be excluded or limited under applicable law. This carve-out applies to the disclaimer in Section 15 and the limitations in this Section 16 alike.

17. Indemnification

You agree to indemnify, defend, and hold harmless us, our officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Site; (b) your violation of these Terms or of any policy incorporated by reference; (c) any content you submit, upload, or transmit through the Site; (d) your violation of any third-party right, including intellectual property or privacy rights; (e) any installation, modification, or use of a Part purchased through the Site; or (f) your gross negligence or intentional misconduct. We reserve the right to assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defense.

18. Governing Law, Arbitration, and Class Waiver

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The federal arbitration statute applies to the agreement to arbitrate below.

Informal dispute resolution.

Before initiating arbitration, you agree to attempt informal resolution by sending a written notice describing the dispute and the relief you seek to the address in Section 22. We will respond within thirty (30) days. If we do not resolve the dispute informally within sixty (60) days of the notice, either party may commence arbitration.

Binding individual arbitration.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site (including the validity, enforceability, or scope of this arbitration agreement) that is not resolved informally will be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, except that either party may seek injunctive relief in a court of competent jurisdiction for matters relating to intellectual property or unauthorized access. The arbitrator's award is final and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver.

YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

Opt-out.

You may opt out of the arbitration agreement and class waiver by sending written notice to the address in Section 22 within thirty (30) days of first accepting these Terms, stating that you opt out of arbitration. If you opt out, the remainder of these Terms remains in effect.

Small claims court.

Notwithstanding the foregoing, either party may bring an individual claim in small claims court for disputes within its jurisdiction.

19. Modifications to the Terms

We may modify these Terms from time to time. The current version is always posted at the Site and dated above. Material changes will be communicated by reasonable means (for example, email notice to the address on file for your Account or a prominent notice on the Site for at least thirty (30) days). Your continued use of the Site after the effective date of a change constitutes acceptance of the modified Terms. If you do not accept a material change, your remedy is to close your Account before the effective date.

20. Notice

Notices to us.

Any notice required or permitted to be given to us under these Terms (including informal dispute notices under Section 18, arbitration opt-outs, account-suspension appeals, and DMCA notices) must be sent in writing to: G & M INNOVATION GROUP INC, 1070 Montgomery Rd, Altamonte Springs, FL 32714, Attn: Legal Notice; with a copy by email to support@itgparts.com. Notice by other means (for example, through the Site's general contact form) will be deemed not received for legal purposes.

Notices to you.

Notices to you may be sent to the email address on file for your Account, or by prominent notice on the Site for fifteen (15) days, or by first-class mail to the address on file for your Account. Notice is effective on the date sent (for email or Site posting) or three (3) business days after deposit with the U.S. Postal Service (for mail).

21. Survival, Severability, and Entire Agreement

Survival.

The Sections that by their nature should survive termination of these Terms (including Sections 1, 7, 10, 11, 15, 16, 17, 18, 20, and 21) survive termination.

Severability.

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction or an arbitrator, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. If the class-action waiver in Section 18 is found unenforceable, then the entire arbitration agreement is unenforceable and disputes will be resolved in court.

Entire agreement.

These Terms (together with the Refund Policy, the Warranty, and the Privacy Policy) constitute the entire agreement between you and us regarding the Site, and supersede all prior or contemporaneous agreements, representations, or understandings on the subject matter.

No waiver.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. A waiver of any right or provision in any one instance is not a waiver in any other instance.

Assignment.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations to a successor in connection with a merger, acquisition, sale of assets, or by operation of law.

22. Contact

Questions about these Terms may be sent to support@itgparts.com or to G & M INNOVATION GROUP INC, 1070 Montgomery Rd, Altamonte Springs, FL 32714. Formal legal notices must follow the procedure in Section 20.
